1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and MatrixTribe Technologies Inc. ("MatrixTribe," "we," "us," or "our"), concerning your access to and use of our website (https://matrixtribe.com) and any related services.

We are registered in British Columbia, Canada, with our corporate office located in Vancouver Area, BC, Canada.

By accessing the Site, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, you must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and all related content, including source code, databases, functionality, software, designs, text, graphics, trademarks, and logos, are the property of MatrixTribe or licensed to us, and are protected under Canadian and international copyright and trademark laws.

You are granted a limited, non-exclusive license to access and use the Site for informational and non-commercial purposes. No content may be copied, reproduced, or distributed without prior written permission.

3. User Representations

By using the Site, you represent and warrant that: (1) you have the legal capacity to enter into these Terms; (2) you are not a minor; (3) you will not access the Site through automated means; (4) you will not use the Site for unlawful purposes; and (5) your use complies with applicable law.

4. Fees and Payment

Fees and payment terms, if applicable, will be governed by separate agreements entered into between MatrixTribe and its customers. Unless explicitly stated otherwise, no fees are charged for browsing the Site.

5. Cancellation

Service cancellation or termination terms are governed by the applicable written agreement between MatrixTribe and its customers. If you have concerns regarding services, please contact us at info@matrixtribe.com or tribe@matrixtribe.ai.

6. Prohibited Activities

You agree not to use the Site for purposes beyond those intended by MatrixTribe.

Prohibited activities include attempting to disrupt the Site's security, engaging in fraudulent or abusive practices, introducing malware, reverse engineering, or using the Site in violation of applicable laws.

7. User Generated Contributions

Currently, the Site does not offer users the ability to post or contribute content. If such features are introduced, all user contributions will be subject to these Terms and the Privacy Policy.

8. Contribution License

By submitting feedback, suggestions, or ideas to MatrixTribe, you grant us a worldwide, royalty-free license to use and incorporate such feedback into our services without obligation to you.

9. Submissions

Any questions, comments, suggestions, or feedback submitted to MatrixTribe through the Site or email become the exclusive property of MatrixTribe. We may use such submissions for any lawful purpose without compensation.

10. U.S. Government Rights

MatrixTribe primarily operates in Canada. Any U.S. government acquisition of our services will be subject to applicable U.S. federal regulations. These Terms shall govern such use except where specifically superseded by federal law.

11. Site Management

We reserve the right, but not the obligation, to monitor the Site for compliance, restrict or deny access, and take appropriate legal action against users violating these Terms.

12. Term and Termination

These Terms remain in effect while you use the Site. MatrixTribe reserves the right to suspend or terminate access to the Site at any time without notice for violations of these Terms or applicable law.

13. Modifications and Interruptions

We may modify or discontinue the Site at any time without notice. We are not liable for any downtime, suspension, or discontinuation of the Site.

14. Governing Law

These Terms shall be governed by the laws of Canada, specifically the Province of British Columbia. Any disputes shall be resolved exclusively in the courts located in British Columbia, Canada.

15. Dispute Resolution

The parties agree to first attempt informal resolution of disputes. If unresolved, disputes shall be subject to binding arbitration in British Columbia, Canada. Exceptions include intellectual property claims or where injunctive relief is sought.

16. Corrections

The Site may contain typographical errors or inaccuracies. We reserve the right to correct such errors without prior notice.

17. Disclaimer

The Site is provided on an "as-is" and "as-available" basis. MatrixTribe disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

18. Limitations of Liability

To the maximum extent permitted by law, MatrixTribe shall not be liable for indirect, incidental, or consequential damages, including lost profits or data, arising from use of the Site.

19. Indemnification

You agree to indemnify and hold MatrixTribe, its officers, employees, and affiliates harmless from claims or damages arising from your violation of these Terms or misuse of the Site.

20. User Data

We may retain limited technical data related to your use of the Site for operational purposes. You are responsible for your own data backup.

21. Electronic Communications, Transactions, and Signatures

By using the Site and contacting us electronically, you consent to receive communications in electronic form. You agree that electronic signatures and records satisfy any legal requirement for written communication.

22. Miscellaneous

These Terms, along with our Privacy Policy, constitute the entire agreement between you and MatrixTribe. If any provision is found unenforceable, the remaining terms remain valid.
